The history of sash windows is interesting and covers a large period of our civilization. Also called the hung sash window it is made of one or more movable panels, also called sashes. It is an excellent window for ventilation with the panels controlled by pulleys, springs and balances, which direct the movement of the windows. Many Georgian and Victorian houses used these types of windows.

The actual idea for this window is in dispute. It has been attributed to Holland, France and England but the actual origin is not known. However, when it was introduced it became very popular, especially with the more affluent people.

Earliest known use of these windows was in the 17th century in England and had a certain status symbol. As a result, only the wealthier had them. Prior to this time, it was common to use what is called lead-light windows, which were removed to install the new type. Poorer people still used a casement window. A window tax, which came into effect in the 1600, increased the status value but was finally abolished in the 1800’s.

To enhance these windows various adornments were worked around the windows frames. Some of these are still in place with historically preserved buildings in Europe. They were considered the height of fashion and very desirable. In the 18th century, classic glazing was brought onto the scene. This consisted of placing six panes over six panes and was commonly used in Georgian, Victorian and Edwardian houses.

Following the end of World War II came the event of mass production of windows. These were made of steel casings and had either solid windows or windows that could easily be opened without the use of any pulleys or other necessary attachments. As a result, most homes adapted the new ones and discarded their old sash windows.

Several reasons were advanced for this decline. The main reason being that with the sash window much of the work had to be done by hand which involved large labor costs. The moldings had to be carefully constructed which could not be mass-produced. It was felt that the newer windows were easier to clean and easier to install.

In recent years, efforts have been made to restore many old buildings to their original state. This has meant replacing things such as sash windows. The value of conserving history in its original state as much as possible is being realized as a necessary part of keeping track of civilization. As a result, the history of sash windows continues.

One of my friends and her husband own Tropic Fins Adventures. It is a sports fishing outfit in Puerto Jimenez. Once they invited us to join them one afternoon for inshore fishing. Although I’m not much of a fisherman and my husband has a bit more experience than I do. We didn’t have any idea of what was coming.

Now the captain’s and guide name was Cory who has over 15 years experience fishing. He has taken lots of professional fishermen and showed them the best time of their lives. I thought he wouldn’t be much excited about taking newbie fishers such as us. It turns out, he made us feel so comfy that my husband is already planning an offshore trip with him!

It took us about 20 minutes to reach the middle of Golfo Dulce. We anchored our boat and waited. Meanwhile, Cory prepared all the rods and when the first bite happened, I understood why people love fishing so much. With just my luck I got two bites and Cory helped me to get one while I found my husband struggling with the other one.

Although I had small fishing experience when I was young, I never would’ve imagined that I would face such an experience. Back then, I caught a maximum of 5 pound fishes, after a long struggle, my husband, with Cory’s help was able to capture a Jack Cravel which was no less than 20 pounds. However, I was still struggling at this part and the damn fish was dragging me all over the place. It was pulling so hard that I thought of throwing myself out or throwing the rod.

Taking Your Company Public: How To Evaluate A Consulting Firm

Seriously, sometimes I have to step back and laugh when I see company owners trying to pre-qualify consulting firms to take them public. I just stand there and scratch my head in disbelief when they think they are asking all the ‘right’ questions when all they are doing is setting themselves up for failure.

I recently had a company who claimed to have investors who wanted to invest in pre ipo deals. For a few weeks these guys called with a million questions and demands, most of which were contrary to basic SEC regulations and compliance. I tried to set them straight but they just didn’t get it. These guys who called themselves consultants really had no clue as to what they were doing and the questions they were asking me about my firm in order to qualify our firm were completely off base and were actually laughable. It was irritating at the time, now I just sit back and laugh as I chalk it up as another lesson learned and another relationship that fortunately did not come to fruition.

Here are some realities to consider when talking to a consulting firm to take your company public. First, no consulting group acts alone, instead they play quarterback or orchestrator to facilitate a smooth, stress free process. Most consulting firms that take companies public on the OTCBB will have securities attorneys on staff for the s1 filing, third party SEC approved auditors for the SEC audit, multiple market makers to choose from for the filing of the 15c211 and scores of Investor Relations contacts for post public market creation.

When doing due diligence on an Edgar link for S1’s in process you’ll only see the attorney information and the auditor. The Consultant has to be content to stand in the background making the entire process function and succeed with virtually no public claim or credit. If you’re doing due diligence on a consulting firm it’s more important to find out how vast their network is as opposed to being the predictable intellectual midget who will look up the consultants previous stock symbols and call the company and expect to miraculously get on the phone with a person who knows the consultant first hand. The mere thought is so ridiculous it’s redundant to even bring it up but this is something that uninformed people actually do as part of what they consider ‘due diligence’.

All you need to do is this: Talk to the senior partner at the consulting firm. Establish whether or not they are full service. Gain an understanding for how long it takes them to get you from S1 to trading symbol. If you want to do some real due diligence, find out about their post public investor relations strategy so your company not only goes public but can stay public and profitable.

Consulting firms who take companies public on the OTCBB are a small part of the whole but without them, the transaction couldn’t happen. They are the 24/7 worker bees doing the impossible for the ungrateful….until the symbol is achieved and the stock is trading properly, they you get a pat on the back and, “hey thank you so much for your hard work…what was your name again?” And I always respond, “you can call me whatever you want but on my Share Certificates you can put Princeton Corporate Solutions”.

OK, maybe that’s a bit of an exaggeration, of course they are going to remember my name but the reality is, solid due diligence by a company wanting to go public starts with a general evaluation of the consulting firm, some basic technical questions and then getting to the root and depth of their contact base to make sure your going public efforts are fast and smooth.

It isn’t at all out of the ordinary to buy seed stock at 50 cents and have that stock gain in value of $1.00 to $1.50 when the company goes public and yes, you just made 50 cents to $1.00 net profit on each share (note: seed prices and opening prices vary). The great thing is you can often invest as a seed investor with as little as $5,000 to $10,000. If you have more capital you can spread it out over multiple pre-IPO opportunities. Taking Your Company Public: The Importance of ‘Swagger’

I’ve been involved with more mergers and acquisitions and IPOs than I can even count. I’ve been called many names when I’m getting involved with corporate turnaround consulting but the most common of these terms are: arrogant, cocky and hardheaded. I take these names as a feather in the cap and a notch on the belt because the worst thing that can happen is that a company or board of directors hires a wimp or pushover. Having swagger when walking into a negotiation session or presentation makes all the difference. Refuse to lose and have the contacts to back up your moves.

CEO’s and executives take note…it’s ok to be cocky of you can back it up with performance. My clients love me. The people on the receiving end of my firm’s negotiations hate me (until they hire me on their next project). My hate of losing exceeds my love of winning and I’ll never stop until the clients pull me off of the project or until the transaction is done. This mentality is a must for today’s executive and corporate consultant.

I’m not saying this to impress anyone or to get more business. I’m trying to express to new CEOs of public companies and pre public companies that you have to be fierce. When you step in a room everyone has to feel it. Your presence has to be loathed by some and the epitome of curiosity by others. Keep them guessing.

Demonstrate loyalty to your client and make competitors fear being on the receiving end of your attention and above all, be calculated with your moves and stealthy with your strategy. Don’t speak until you can level the room with what you have to say and understand the reality that for every action there will be a reaction and for every strategic move you make on your clients behalf, there will be countermeasures taken by the opposition.

It’s ok to stay up at night distracted by ideas that will press the throttle peddle on behalf of your client. It’s a forgivable sin to force-feed strategies and alliances to your client that will help them get a competitive edge over their competition. And above all remember this, at the end of the day in global commerce the winning side achieves more than domination but the ability to keep and create jobs and grow through acquisition which creates more jobs and profitability. Arrogance and the refusal to lose is the beginning of this entire process. Get it or get out!
